Petit Pan Fabrics — Terms of Sale (Wholesale)

Version: 8-15-2026. These terms are provided in English for convenience; they are governed by French law.

1. Who we are

This store, petitpanfabric.com ("the Store"), is operated by PETIT PAN, S.A.R.L. with capital of €10,000, registered office at 7 rue de Prague, 75012 Paris, France, registered with the Paris Trade and Companies Register (RCS Paris) under no. 480 128 156 ("Petit Pan", "we"). 2. Trade only

The Store sells exclusively to professional buyers — shops, studios, and makers purchasing in the course of their business — through approved wholesale accounts ("Buyers"). By ordering, you confirm you are purchasing for professional purposes. Consumer-protection rights, including the consumer right of withdrawal, do not apply to purchases made under these terms.

3. Accounts

Wholesale accounts are opened on application and are subject to our approval. You agree to provide accurate business information and keep it current. We may refuse, suspend, or close an account at our discretion.

4. Products and availability

The catalog shows live availability. Product images and colors are indicative; slight variations may occur, particularly in printed textiles. We may withdraw or modify products at any time.

5. Prices

Prices are visible to signed-in approved Buyers. Prices include duties and taxes (orders are delivered duty paid); shipping is not included and is calculated at checkout based on the order value.

6. Orders and payment

Your order constitutes an offer to purchase; a contract is formed when we confirm the order. Payment is due in full at checkout, by credit card, PayPal, or bank transfer (ACH, domestic wire, or international SWIFT). Bank-transfer orders are reserved and ship once payment is received.

7. Delivery

Orders ship Delivered Duty Paid (DDP, Incoterms 2020) direct from our family workshop, with a tracking number. Duties and taxes are borne by Petit Pan; there is nothing to pay on arrival. Delivery estimates are given in good faith and are not guaranteed dates. Risk in the goods passes to the Buyer on delivery.

8. Inspection and claims

Please inspect your order on receipt. If we have shipped an incorrect item, or an item arrives defective, contact hello@petitpan.com and we will make it right with a replacement or a refund. Subject to the foregoing and to mandatory provisions of French law (including the statutory warranty against hidden defects, Articles 1641 et seq. of the French Civil Code), wholesale sales are final.

9. Intellectual property

All elements of the Store and of our products — designs, prints, texts, images, graphics, logos — are and remain the exclusive property of Petit Pan or its partners. Purchase of fabric confers no license to reproduce the printed designs. Any reproduction, exploitation, or use, even partial, without prior express authorization is prohibited and constitutes infringement.

10. Liability

To the extent permitted by law, Petit Pan's total liability for any order is limited to the amount paid for that order, and Petit Pan is not liable for indirect or consequential losses (including loss of profit).

11. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control.

12. Personal data

Personal data are processed as described in our Privacy Policy.

13. Governing law and jurisdiction

These terms are governed by French law. The parties will seek an amicable resolution before any court action. Any dispute between Petit Pan and a professional Buyer that cannot be resolved amicably falls within the exclusive jurisdiction of the courts of Paris, France.
